Terms & Conditions
This Agreement contains the terms and conditions that apply to your purchase from The Technology Practice Ltd named on the invoice that will be provided to you ("Customer") on orders for equipment, related products and/or services and support (all subject to availablity). By accepting delivery of the equipment, related products and/or services and support described on that invoice, Customer agrees to be bound by and accepts these terms and conditions. THESE TERMS AND CONDITIONS APPLY UNLESS THE CUSTOMER HAS SIGNED A SEPARATE PURCHASE AGREEMENT WITH The Technology Practice IN WHICH CASE THE SEPARATE AGREEMENT SHALL PREVAIL. These terms and conditions are subject to change without prior written notice at any time and at The Technology Practice Ltds absolute discretion.
1. Payment Terms
All sales prices are F.O.B Seller's shipping point. The full purchase price will be invoiced upon delivery of equipment to a carrier. Payment for the products, services and support will be made by a P.O., credit card, wire transfer, or some other prearranged payment method unless credit terms have been agreed in advance by The Technology Practice. Invoices are due and payable within the time period noted on the reverse or front side of the invoice(usually net 30 days) and measured from the date of the invoice. The Technology Practice may invoice parts of an order separately. Quotations and orders are not binding upon The Technology Practice until accepted by The Technology Practice. Any quotations given by The Technology Practice will be valid for the period stated on the quotation. Interest may be charged on all past-due sums at the lower of sixteen percent (16%) per annum or the maximum rate allowed by Scottish law.
2. Shipping Charges and Taxes
Separate charges for shipping and handling will be shown on The Technology Practices invoice(s), unless Customer provides The Technology Practice with a valid common carrier bill to number that authorises The Technology Practice to charge shipping costs directly to the Customers freight account. The Customer is responsible for all taxes (i.e. VAT), freight, duty and any other taxes associated with a purchase from The Technology Practice
3. Title, Risk of Loss and Insurance
Title and Risk of Loss passes from The Technology Practice to Customer on shipment from The Technology Practice facilities. The Technology Practice does not insure product shipments unless specifically requested by the Customer. The cost of which shall be the Customers responsibility.
4. Warranties
Products sold by The Technology Practice may include the following warranties (from receipt of order):
Up to 30 Days - Replacement (when available)
31-110 Days- Return To Base(RTB)
5. Product Exchanges
The Technology Practice may, at its absolute discretion, exchange products or portions of a product. Any exchanges will be made in accordance with The Technology Practice exchange policies in effect on the date of the exchange.
6. Receipt of Goods
The Customer has 3 days from receipt of goods to review the product and ensure that it complies with product as ordered.
7. Governing Law
This agreement and any contracted sales there under shall be governed by the laws of Scotland.
8. Limitation of Liability
The Technology Practice does not accept any liability beyond the remedies outlined herein, including any liability for products not being available for use or for lost or corrupted data or software, or the provision of services and support The Technology Practice will not be liable for lost profits, loss of business or other consequential, special, indirect or punitive damages, even if advised of the possibility of such damages, or for any claim by any third party except as expressly provided herein. this limitation of liability applies both to products and services and support contracts purchases under this agreement. customer agrees that for any liability related to the purchase of products or services bundled with the products, The Technology Practice is not liable or responsible for any amount of damages above the aggregate uk/converted amount paid by customer for the purchase of products under this agreement. customer agrees that for any liability related to the purchase of services not bundled with products under this agreement, The Technology Practice is not liable or responsible for any amount of damages above the aggregate amount paid by the customer for the purchase of any products or services under this agreement.
